Welcome to Orella Health. These Terms and Conditions ("Terms") govern your access to and use of the website at www.orellahealth.com, the Orella patient mobile application, the Orella MD Panel, and all related services (collectively, the "Platform") provided by Orella Health, Inc. ("Orella," "we," "our," or "us").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Description of Services

Orella Health provides a technology platform that facilitates communication between patients and healthcare providers. Our services include:

  • Multilingual symptom documentation and case preparation across 11 languages.

  • AI-assisted clinical documentation, pre-visit summaries, and structured reports to support healthcare providers.

  • Appointment scheduling, management, and coordination.

  • Care plan delivery, follow-up tracking, and observation monitoring.

  • Transactional notifications via email, SMS, and in-app messaging.

Orella Health is not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. The Platform is a communication and documentation tool used by licensed healthcare professionals to enhance the care they deliver.

2. Medical Disclaimer

IMPORTANT: The Platform is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read, submitted, or experienced through the Platform.

AI-generated content on the Platform — including pre-visit summaries, clinical analysis, and care plan documentation — is produced to assist healthcare providers and is always subject to physician review and approval. AI-generated content does not constitute medical advice.

In case of a medical emergency, call 911 or your local emergency services immediately. Do not use the Platform to seek emergency care.

3. Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and capable of forming a binding legal agreement. By creating an account, you represent that the information you provide is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

4. SMS and Email Notifications

By providing your phone number and email address during registration, you consent to receive transactional communications related to your healthcare, including:

  • Appointment confirmations and reminders

  • Care plan and diagnosis readiness alerts

  • Observation check-in reminders

  • Follow-up scheduling notifications

  • Account verification codes

Program name: Orella Health Notifications Message frequency: Varies based on your care activity. Message and data rates may apply.

To opt out of SMS messages: Reply STOP to any message at any time. You will receive a single confirmation and no further SMS messages. Opting out of SMS does not affect email or in-app notifications.

Supported carriers: Major US carriers are supported. Carriers are not liable for delayed or undelivered messages.

5. User Responsibilities

When using the Platform, you agree to:

  • Provide accurate and complete information about yourself and your health.

  • Maintain the security of your account credentials and not share your account with others.

  • Use the Platform only for its intended purpose of healthcare communication and management.

  • Not use the Platform for any unlawful purpose or in violation of any applicable law or regulation.

  • Not attempt to interfere with, compromise, or disrupt the Platform or its infrastructure.

  • Not upload content that is false, misleading, defamatory, obscene, or that infringes on the rights of others.

  • Report any unauthorized access to your account immediately.

6. Healthcare Provider Terms

Healthcare providers who use the Orella MD Panel agree to:

  • Use the Platform in accordance with all applicable laws, regulations, and professional standards, including HIPAA.

  • Review and approve all AI-generated clinical content before it becomes part of a patient's care record.

  • Maintain appropriate licensure and credentials for the services they provide.

  • Not rely solely on AI-generated content for clinical decision-making.

7. AI-Assisted Features

The Platform uses artificial intelligence to assist healthcare providers with clinical documentation, including pre-visit summaries, clinical analysis, consultation notes, billing code suggestions, and after-visit summaries.

You acknowledge that:

  • AI-generated content is a tool to assist licensed healthcare providers, not a replacement for professional clinical judgment.

  • All AI-generated content is subject to physician review, editing, and approval.

  • AI models may occasionally produce inaccurate or incomplete information.

  • Orella Health is not responsible for clinical decisions made by healthcare providers, whether or not they were informed by AI-generated content.

8. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, software, and the underlying technology, are the exclusive property of Orella Health, Inc. and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Platform without our prior written consent.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, available at https://www.orellahealth.com/privacy-policy. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Orella Health, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to:

  • Your use of, or inability to use, the Platform.

  • Any content, information, or services obtained through the Platform.

  • Unauthorized access to or alteration of your data or transmissions.

  • Statements or conduct of any third party on the Platform.

  • Any clinical decisions made by healthcare providers using the Platform.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant the accuracy, reliability, or completeness of any content or information provided through the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orella Health, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

13. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or inactivity.

You may delete your account at any time through the Platform's settings. Upon account deletion, we will remove your personal information in accordance with our Privacy Policy and applicable legal retention requirements.

14. Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our website and, where appropriate, through the Platform or by email. The "Last Updated" date at the top indicates when the Terms were most recently revised.

Your continued use of the Platform after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its rules, conducted in Los Angeles, California. You agree to waive any right to a jury trial or to participate in a class action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with Orella Health, constitute the entire agreement between you and Orella Health regarding the use of the Platform.
